Terms of Service

These Terms of Service ("Terms") define the legal relationship between PT. YAO JING TRADE ("Soya," "we," "our," or "us") and individuals ("you" or "User") who access or use our mobile application or related services (collectively, the "Service").

Soya is an online social platform that enables people to meet, chat, and build meaningful connections through interactive communication and discovery features. These Terms govern your use of the Soya platform, including software downloads, in-app features, virtual items, paid products, and related services.

By accessing or using the Service, downloading our application, creating an account, or making any in-app purchase, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. Together, these documents form the entire agreement between you and Soya. If you do not agree to any of these terms, you must not access or use the Service.

1. Terms Modification Protocol

• You have no history of convictions for felonies, sex offenses, violent crimes, exploitation, or offenses involving minors (unless we have determined, in our sole discretion, that you do not pose a risk to our users)
• You are not listed on any sex offender registry in any jurisdiction
• You have not previously been banned or removed from Soya or our other services, unless we have given you written permission to create a new account

If you fail to meet any of these requirements, your right to use the Service will end immediately, and we may suspend or terminate your account without prior notice.

3. Service Description

Soya is a social platform that enables users to discover, connect, and interact with others for friendship, dating, or social engagement. Depending on your use of the Service, you may be able to create a profile, upload photos or other media, send messages, receive recommendations, express interest in other users, and access paid features.

Service availability and features may vary based on factors such as your location, device type, platform version, membership status, and account settings. We may also update, modify, suspend, or discontinue any aspect of the Service—including features, functionality, pricing, or design—at any time without prior notice.

4. User Commitments & Responsibilities

4.1 Account Registration and Security

When you create an account with Soya, you agree to provide information that is truthful, complete, and up to date. You are also responsible for keeping that information current throughout your use of the Service.

You are solely responsible for:

• Maintaining the confidentiality of your login credentials and device
• All activities conducted through your account
• Notifying us immediately if you suspect unauthorized access to your account
• Managing your interactions with other users on the platform
• Ensuring that your content and behavior comply with these Terms and all applicable laws

4.2 User Interactions and Disclaimer

Soya does not conduct criminal background checks or verify the identity, background, intentions, or conduct of its users. We do not guarantee that any user is truthful, safe, compatible, or appropriate for offline interaction.

To the fullest extent permitted by law, we disclaim any liability arising from or related to:

• Interactions or offline meetings between users
• Content posted or shared by users on the Service
• Inaccurate, incomplete, or misleading information provided by other users
• Unauthorized access to your account resulting from your failure to protect your login credentials
• Third-party services, websites, or payment processors linked to or integrated with the Service

You are solely responsible for exercising caution and good judgment when interacting with other users, especially if you choose to meet in person or share personal information.

4.3 Monitoring and Enforcement

While we are not obligated to actively monitor all activity on the Service, we reserve the right to do so at our discretion. This includes the ability to:

You confirm and warrant that:

• You own the content or have obtained all necessary rights, licenses, and permissions to share it
• Your content does not infringe any intellectual property, privacy, publicity, or other rights of any third party
• You have obtained consent from any identifiable person appearing in your content
• Your content does not depict minors, contain illegal material, promote exploitation, violence, harassment, hate speech, fraud, or other prohibited content
• Your content complies with these Terms and all applicable laws

5.2 License You Grant to Us

You retain full ownership of your User Content. However, by submitting content to the Service, you grant us a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, host, store, reproduce, display, modify, adapt, and distribute your content as necessary to operate, improve, and promote the Service.

To the extent permitted by law, you waive any moral rights or similar claims regarding our use of your content under this license.

We may remove or restrict access to any User Content at any time without prior notice.

6. Purchase and Payment

Basic access to the Service may be limited or available at no cost. However, certain features require payment and will be clearly described before purchase. We reserve the right to introduce, modify, limit, or discontinue any paid features at any time.

6.2 Payments

Prices may vary depending on your region, device, platform, selected plan, ongoing promotions, or user eligibility. All final pricing, subscription periods, renewal terms, and feature details will be displayed before you complete a purchase. Unless required by applicable law or the rules of the platform you used to pay, all purchases are final and non-refundable.

6.3 Subscriptions

Subscriptions are valid for a fixed period as specified at the time of purchase. Once the subscription period ends, your access to premium features will expire and you will need to renew manually if you wish to continue using them.

If your account is suspended or terminated due to a violation of these Terms, you may lose access to paid features and will not be entitled to a refund, except where the law requires otherwise.

6.4 Virtual Items

Virtual items are licensed to you—not sold. They grant a limited, personal, revocable, non-transferable, and non-sublicensable right to use specific digital features within the Service.

• Removing your profile, messages, or other User Content
• Blocking you from creating new accounts or accessing the Service in the future

We will not be liable to you or any third party for any enforcement actions we take under these Terms.

If your account is restricted due to age-related concerns, we may ask you to provide valid proof of age. Any appeal process is limited to confirming whether you meet the minimum age requirement to use the Service.

8.3 Account Deletion

You may stop using the Service at any time. If you wish to delete your account, you may do so through the app settings where available. Please note that canceling any active subscriptions must be handled separately through the platform where the purchase was made.

9. Service Disclaimer

The Service is provided strictly on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by law, Soya disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to warranties of merchantability, fitness for a particular purpose, title, non-infringement, security, reliability, and performance.

We do not guarantee or warrant that:

• The Service will be uninterrupted, secure, or free of errors
• Any defects or issues in the Service will be corrected
• The Service will be free of viruses or other harmful components
• Any user content will be accurate, complete, or reliable
• User interactions will be safe, satisfactory, or lead to any particular outcome
• Any match, message, date, relationship, meeting, or other result will occur

You are solely responsible for your own device, internet connection, and any costs associated with accessing the Service.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Soya, along with its affiliates, employees, contractors, agents, and service providers, shall not be held liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, goodwill, or interruption of business
• Service downtime, technical malfunctions, or security breaches
• The conduct, content, or actions of any other user
• Offline interactions or meetings arising from use of the Service
• Any third-party services, advertisements, or payment processors

In no event shall our total liability to you for any claims arising out of or related to the Service or these Terms exceed the amount you have paid to us, if any, during the twelve-month period immediately preceding the claim. If you have not made any payment to us, our total liability shall be limited to the minimum amount permitted by law.

You agree to defend, indemnify, and hold harmless Soya, its affiliates, employees, contractors, agents, and service providers from any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Any User Content you submit, post, or transmit through the Service
• Your breach or violation of these Terms
• Your failure to comply with any applicable laws or regulations
• Your infringement or misappropriation of any third-party rights
• Your interactions, communications, or offline meetings with other users

We reserve the right to assume exclusive control over the defense of any matter for which you are required to indemnify us. In such event, you agree to cooperate fully with our defense efforts.
